These Terms govern your use of Vedavel Technologies website, products, software, documentation, demos, trials, support, professional services, reports, and related offerings. Minor legal-team follow-up changes may be incorporated later.
Scope and authority
Who these terms apply to and how authority works.
If you use Vedavel offerings on behalf of an organization, you represent that you have authority to bind that organization.
- Website, products, software, and documentation.
- Demos, evaluations, trials, and support interactions.
- Professional services, reports, and related offerings.
- Automation tools, analysis engines, and AI-assisted workflows.
- Local or on-prem deployment packages and private-environment deployment support.
- Evaluation, trial, beta, and preview services are provided for assessment unless otherwise agreed, and may be incomplete, unstable, rate-limited, unsupported, changed, or discontinued.
Local and on-prem
Customer responsibilities in customer-controlled environments.
Vedavel products are designed to run in customer-controlled environments.
- Unless separately agreed, customers are responsible for installing, operating, securing, and maintaining their environments.
- Customers provide infrastructure, storage, access, networks, credentials, and runtime dependencies.
- Customers configure local models, cloud AI/LLM providers, API keys, repositories, folders, and output destinations.
- Customers manage users, permissions, secrets, logs, backups, and generated artifacts.
License
Limited internal business license.
During the applicable term and subject to agreement terms, Vedavel grants a limited, non-exclusive, non-transferable, revocable license for internal business use.
- Restriction: Resale, sublicensing, redistribution, or unauthorized transfer.
- Restriction: Reverse engineering, decompilation, or attempts to derive source in violation of applicable law.
- Restriction: Removing proprietary notices, bypassing license controls, or exceeding agreed usage limits.
- Restriction: Providing unauthorized third-party access or using the offerings to build a competing product.
Customer content and outputs
Ownership, usage rights, and output validation.
Customers retain ownership of Customer Content and remain responsible for validating outputs.
- Customers retain ownership of repositories, documents, source code, files, configurations, prompts, outputs, generated reports, indexes, embeddings, and business data.
- Vedavel does not claim ownership of Customer Content.
- Customers grant only limited rights as necessary for support, implementation, troubleshooting, and any customer-enabled hosted components.
- Outputs may include reports, summaries, citations, recommendations, migration plans, code analysis, dependency findings, risk indicators, upgrade guidance, rewrite suggestions, document answers, and AI-assisted outputs.
- Outputs assist decision-making and reduce manual effort, but are not substitutes for engineering, legal, compliance, security, domain-expert, or production validation.
- Customers must verify outputs before relying on them in production or other high-impact decisions.
- Vedavel does not guarantee that every dependency, vulnerability, risk, document fact, migration issue, or upgrade issue will be detected.
- AI-assisted outputs are decision-support outputs and must be reviewed before business, legal, security, compliance, migration, rewrite, or production use.
AI-enabled features
Provider selection and approval remain customer responsibilities.
Local models, customer-configured providers, private cloud services, and third-party AI providers may be used based on customer configuration.
Acceptable use
Prohibited activities.
Use of Vedavel offerings must remain lawful and responsible.
- No illegal use or unauthorized data processing.
- No infringement of rights, unauthorized system access, or malware distribution.
- No attempts to evade technical controls or misuse AI-enabled capabilities.
- No misrepresentation of outputs as independently verified professional advice.
Commercial and operational terms
Fees, support, confidentiality, security, and third-party services.
Commercial specifics are defined by applicable order and service documents.
- Fees, payment terms, and taxes are defined in applicable order forms, quotes, invoices, or negotiated agreements.
- Support and maintenance are governed by support policies, order forms, or SLAs where applicable.
- Each party should protect confidential information with reasonable care.
- Vedavel uses reasonable measures for systems under Vedavel control, while customers secure local or on-prem infrastructure, repositories, generated reports, logs, and backups.
- Vedavel retains rights in software, documentation, product names, logos, methods, and website content; customers retain Customer Content rights.
- Third-party services and tools (including AI, cloud, repositories, document stores, and identity providers) are governed by their own terms.
Disclaimers and liability
Conservative legal boundaries.
Final governing law and dispute-forum details should be finalized with legal counsel where needed.
- Unless otherwise agreed, offerings are provided on an as-is and as-available basis.
- Vedavel does not warrant uninterrupted or error-free operation, complete or fully accurate outputs, detection of all issues, or suitability for every requirement without customer validation.
- Limitation of liability should be interpreted conservatively and subject to applicable agreements and legal review.
- Indemnity, suspension, termination, governing law, and dispute handling are addressed at a high level here and may be refined in legal-approved agreements.
